INSIDE INFORMATION under Art 7 of Regulation No596/2014 of the European Parliament and the Council from 16 April 2014 and within the scope of the indicative list of facts and circumstances subject to disclosure under Appendix 9 of Ordinance No2 of FSC

Pursuant to the structure and scope of the Investment Program of Agria Group Holding AD along with the potential for expansion of the Group in the field of agricultural production, storage, processing and trading with grain crops, aiming to expand and generate new opportunities for a long-term stable development and pursuant to a Framework Agreement concluded on 11 February 2016, on 30 August 2016 Agria Group Holding AD concluded a Final Agreement for the lawful acquisition of 100% of the shares of Kehlibar EOOD, Municipality of Lyaskovets, Veliko Tarnovo Region. Kehlibar EOOD is operating in the field of trading, storing and processing of oil-bearing and grain cultures in Northcentral and Northeast Bulgaria. The share transfer is to be entered in the Commercial Register at the Registry Agency. No stakeholders or related parties take part in the transaction. The transaction does not fall within the scope of Art. 114, Paragraph 1 from POSA since such kind of transactions, in view of the scope of activity of Agria Group Holding AD and in accordance with the order of Art. 114 Paragraph 9 from POSA, are within the scope of the usual activity of the Company. The transaction ensures implementation of part of the Investment program of the holding in the direction of expanding the processing and export orientation of the company in view of its long-term development strategy. Merging the business potential of Agria Group Holding AD and Kehlibar EOOD in the field of trading and logistics of mass bulk grain cargoes and processing oil-bearing cultures presents a stable foundation for a future successful developments and diversification of the company’s business directions of operation.
